These Terms of Service (the "Terms") govern your use of https://www.sidkes.com (the "Website") and any services Sidkes Consultancy ("we", "us", or "our") makes available through it. By accessing the Website you accept these Terms in full. If you do not agree, please do not use the Website.

These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and do not require physical or digital signatures.

1. About Sidkes Consultancy

Sidkes Consultancy is an Indian consulting firm with its registered office at I-502, MHADA Towers, Pimpri Waghere, Pune 411017, Maharashtra, India. We provide consulting and engineering services in the electric-vehicle ecosystem, including battery telemetry, charging-station software, billing engines, and AI-driven operational intelligence.

2. Eligibility

By using the Website you represent that you are at least 18 years of age and competent to contract under the Indian Contract Act, 1872. If you are using the Website on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

3. The Website is informational

The Website is intended to provide information about our services, publish thought-leadership content, and enable prospective clients to contact us. The Website itself does not deliver consulting services; those services are governed by separate written engagement letters or master services agreements signed by Sidkes Consultancy and the client.

4. Permitted use and restrictions

You may use the Website for lawful, personal, and non-commercial purposes. You agree not to:

• Reverse-engineer, decompile, or attempt to extract the source code of any part of the Website
• Scrape, mass-download, or otherwise systematically extract data, except via our published REST APIs and within their documented rate limits

We may suspend or terminate your access without notice if we reasonably believe you have breached these restrictions.

5. Intellectual property

All content published on the Website — text, graphics, images, code, software, logos, and the underlying design — is the property of Sidkes Consultancy or its licensors and is protected under the Copyright Act, 1957 and the Trade Marks Act, 1999. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Website for personal and informational purposes.

You may quote short excerpts from our published content with attribution to Sidkes Consultancy and a link to the source page. Any other use (including republication, redistribution, or use in a commercial work) requires our prior written permission.

6. Submissions and feedback

If you submit content through the contact form or by email — including project briefs, ideas, suggestions, or feedback — you grant us a royalty-free, worldwide, perpetual licence to use that content for business operations, internal training, and improvement of our services. You should not submit confidential information through the contact form; arrangements for confidential information are made under engagement letters.

We have no control over, and do not endorse or assume responsibility for, the content, privacy practices, or terms of any third party. Our aggregate liability arising out of or relating to the Website (as distinct from any signed engagement letter) is limited to the greater of INR 1,000 or the amount you have paid us through the Website in the twelve months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sidkes Consultancy and its directors, employees, contractors, and affiliates from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to (a) your breach of these Terms, (b) your violation of any law, or (c) your infringement of the rights of any third party.

11. Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

12. Governing law and jurisdiction

These Terms are governed by, and construed in accordance with, the laws of India. Subject to Section 13, the courts at Pune, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Website.

13. Dispute resolution

Any dispute, controversy, or claim arising out of or relating to these Terms — including questions regarding their existence, validity, breach, or termination — will, in the first instance, be resolved through good-faith negotiation between the parties for a period of thirty (30) days from the date one party gives written notice of the dispute to the other.

If the dispute is not resolved within that period, it shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual consent or, failing that, in accordance with the Act. The seat and venue of arbitration shall be Pune, Maharashtra. The language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.

14. Changes to these Terms

We may revise these Terms from time to time. Material changes will be notified through the Website or, where reasonably practicable, by email to registered users. Continued use of the Website after the effective date of any revision constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect.

16. Entire agreement

These Terms, together with our Privacy Policy and any signed engagement letter you have entered into with us, constitute the entire agreement between you and Sidkes Consultancy with respect to your use of the Website.
